Terms of Use
Last updated: 7 July 2026 · Effective from: 7 July 2026
1. Agreement to terms
These Terms of Use ("Terms") govern your access to and use of the website cogniflux.life and related online properties operated by CogniFlux Inc., an Alberta corporation with Business Number 874205163AB0001, located at 10240 104 Avenue NW, Suite 210, Edmonton, AB T5J 1B7, Canada ("CogniFlux," "we," "us" or "our"). By accessing or using our website, you agree to be bound by these Terms. If you do not agree, you must not use our website.
Separate written agreements govern paid platform services, programme enrolments and professional engagements. Where a service agreement conflicts with these Terms regarding paid services, the service agreement prevails.
2. Description of services
CogniFlux operates a cognitive AI workflow platform providing generative AI workflow design, knowledge flux orchestration, multi-model integration and responsible AI governance for Canadian enterprises. Our website provides information about programmes, platform services, company background and contact channels. We are not a marketing agency, web design studio, training provider or generic IT outsourcing firm. Website content is for informational purposes and does not constitute a binding offer until confirmed in a written service agreement.
3. Eligibility
You must be at least eighteen years of age and have the legal capacity to enter into binding agreements to use our website and submit enquiries. By using our website, you represent that you meet these requirements. If you access our website on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
4. Acceptable use
You agree to use our website only for lawful purposes and in accordance with these Terms. You must not:
- Use the website in any way that violates applicable federal, provincial or local laws
- Attempt to gain unauthorised access to our systems, networks or data
- Transmit malware, spam or other harmful or disruptive code
- Scrape, crawl or harvest website content through automated means without written permission
- Impersonate CogniFlux personnel or misrepresent your affiliation with our company
- Interfere with other users' access to the website or our platform infrastructure
- Submit false, misleading or fraudulent information through contact forms
We reserve the right to suspend or terminate access for conduct that violates these Terms or poses risk to our systems, users or reputation.
5. Intellectual property
All content on cogniflux.life — including text, graphics, logos, icons, images, software, flux workflow templates and documentation — is owned by CogniFlux Inc. or its licensors and protected by Canadian and international copyright, trademark and intellectual property laws. The CogniFlux name, flux wave logo and associated marks are trademarks of CogniFlux Inc. You may not reproduce, distribute, modify, create derivative works from, publicly display or commercially exploit any content without our prior written consent, except for personal, non-commercial viewing and printing of pages for reference purposes.
6. User submissions
When you submit information through our contact form or other channels, you grant CogniFlux a non-exclusive, royalty-free licence to use that information for the purpose of responding to your enquiry and delivering requested services. You represent that your submissions do not violate third-party rights or contain unlawful content. We handle personal information in accordance with our Privacy Policy and PIPEDA obligations.
7. AI platform disclaimer
Generative AI workflow and knowledge flux outcomes depend on data quality, model selection, integration complexity and human oversight. CogniFlux architects cognitive AI pipelines and multi-model orchestration — results vary by use case. We do not guarantee specific automation levels, deployment timelines, throughput metrics or regulatory compliance. Statistics, case examples and performance figures on this website are illustrative unless explicitly stated otherwise in a signed service agreement. Our platform designs intelligent workflows with human review checkpoints — we do not promise fully autonomous AI replacing human decision-making.
CogniFlux is not responsible for decisions made by clients based on AI-generated outputs from workflows we design or deploy. Clients retain responsibility for validating outputs, maintaining appropriate oversight and complying with industry-specific regulations applicable to their use cases.
8. Third-party links and integrations
Our website may contain links to third-party websites, model providers, documentation resources and partner platforms. These links are provided for convenience only. We do not endorse, control or assume responsibility for third-party content, privacy practices or service availability. Your use of third-party LLM APIs, AI tools and external services is governed by those providers' terms and policies. Integration recommendations on our website do not constitute warranties about third-party service performance or suitability.
9. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR WEBSITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. INFORMATION ON THIS WEBSITE MAY CONTAIN TECHNICAL INACCURACIES OR TYPOGRAPHICAL ERRORS THAT WE MAY CORRECT WITHOUT NOTICE.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COGNIFLUX INC. AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE OUR WEBSITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR CLAIMS ARISING FROM WEBSITE USE SHALL NOT EXCEED ONE HUNDRED CANADIAN DOLLARS (C$100). SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF IMPLIED WARRANTIES OR EXCLUSION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
11. Indemnification
You agree to indemnify, defend and hold harmless CogniFlux Inc. and its personnel from any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from your violation of these Terms, your misuse of the website, your submissions of unlawful content or your infringement of third-party rights.
12. Governing law and jurisdiction
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree that the courts of Alberta shall have exclusive jurisdiction over disputes arising from these Terms or your use of our website, subject to applicable consumer protection legislation that may provide additional rights to residents of other provinces.
13. Dispute resolution
Before initiating formal legal proceedings, you agree to contact us at [email protected] to attempt informal resolution of any dispute. If informal resolution is unsuccessful within thirty days, either party may pursue remedies available under applicable law. Nothing in this section prevents either party from seeking injunctive relief for intellectual property violations or unauthorised access to systems.
14. Modifications
We may revise these Terms at any time by posting updated terms on cogniflux.life with a revised "Last updated" date. Material changes will be communicated through prominent website notice where practicable. Your continued use of the website after changes constitutes acceptance of the revised Terms. If you disagree with modifications, you must discontinue use of our website.
15. Severability
If any provision of these Terms is found unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
16. Entire agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and CogniFlux regarding website use. They supersede prior oral or written understandings relating to website access.
